    US Standard Terms and Conditions
    1. Effective Date of Terms and Conditions; Modification. These Joerns Healthcare Terms and Conditions (these “Joerns Terms and Conditions”) are effective for all purchase and/or rental orders placed by you or your affiliates (“Customer”) with Joerns Healthcare, LLC, a Delaware limited liability company or any of its affiliates (“Joerns”) (each a “Party” and collectively the “Parties”) on or after August 7, 2019 (the “Effective Date”). The Joerns Terms and Conditions, the Purchase Terms (as defined below), and the Rental Terms (as defined below) are collectively referred to herein as these “Terms”. On and after the Effective Date, these Terms will supersede all prior terms and conditions regarding the purchase and/or rental of Joerns products (the “Products”). Joerns reserves the right to modify these Terms from time to time upon written notification to Customer by U.S. Mail, electronic mail or by posting any changes on the Joerns website (www.joerns.com).  Any modification of these Terms shall be effective for all purchase and/or rental orders placed by Customer with Joerns on or after the effective date set forth therein.  Customer shall be deemed to have accepted these Terms and any revised Terms upon the earlier to occur of (i) Customer signing or otherwise authenticating these Terms, or (ii) Customer placing a purchase and/or rental order with Joerns after the Effective Date. Joerns’ consent to engage in the activity contemplated by these Terms is expressly conditioned on Customer’s unaltered acceptance of these Terms. Any terms proposed in an invoice or other Customer provided document that add to, vary from, or conflict with these Terms are hereby rejected and shall not apply. These Terms contain the entire understanding between the Parties related to the transactions contemplated hereby; provided, however, in the event any conflict between the provisions of these Terms and those of any other mutually agreed to agreement between the parties regarding the Products, the provisions of such other agreement shall hold.
    2. Payment Terms. Joerns standard payment terms are NET 30 from invoice date. In the event of a disputed charge, Customer shall, within 45 days of the invoice date, notify Joerns in writing at billing@joerns.com of a request for a billing correction and/or credit. Reviews and credit requests received past the 45 day time frame shall not be honored and such invoice shall be deemed correct and payable pursuant to these Terms. Any payment not made when due shall accrue interest at the rate of 1.5% per month (18% A.P.R.) until paid in full.  In the event Customer fails to make a timely payment, Customer shall pay all reasonable costs of collection, including reasonable attorneys’ fees.  Customer agrees to pay a $25.00 service charge on any returned check.  If payment is not made in accordance with the applicable payment terms, Joerns may suspend all further deliveries, or require full or partial payment in cash, in advance, on new orders. In addition to the foregoing, if Customer has an outstanding balance of $200.00 or more on an account and that account is past due and Customer has not previously notified Joerns of a dispute involving the charges for such account, Customer must pay a Late Payment Fee of $49.00 for each month that the account is past due.  Joerns, in its sole discretion, may allow Customer to make payment(s) via credit card.  If a credit card transaction is permitted by Joerns, then Joerns will, to the maximum extent permitted by applicable law, add a credit card convenience fee of three percent (3%) to the payment amount.  To the extent Joerns does not apply the convenience fee to any particular credit card transaction, this does not waive or otherwise modify Joerns right to do so on future credit card transactions, subject to applicable law.  Joerns reserves the right to discontinue the acceptance of credit card transactions in Joerns’ sole discretion.
    3. Products and Pricing. Joerns reserves the right to change, without prior notice, the design, construction, and type of materials used in the manufacture of any of the Products. Joerns further reserves the right to discontinue, without prior notice, any of the Products and/or replacement parts therefore. Joerns may modify the prices of the Products at any time. Billing and payment shall be in US Dollars.
    4. Taxes/Fees. Customer shall be responsible for any and all taxes, duties, fees or charges of any nature imposed by any governmental authority upon sale and/or rental of the Products to Customer (excluding Joerns’ income taxes) whether due at the time of sale or later date, including any penalties and interest. In the event Joerns is required to pay such tax, fee, or charge, Customer shall reimburse Joerns within ten (10) days of Joerns’ payment of such tax, fee, or charge.
    5. Limitation of Liability. Joerns shall not be liable for (a) claims arising by reason of death or personal injury except so far as the death or injury is attributable to a failure by Joerns to exercise reasonable care; or (b) any lost profits; or (c) any lost revenue or goodwill; or (d) any indirect, punitive, or consequential damages. As more fully set forth in the Joerns warranty policy, Joerns warranty obligations shall not apply to the negligence of Customer, or end-users of the Products, including without limitation: (i) any use, modification, maintenance, repair or combination with other devices not in accordance with written instruction; (ii) exposure of the Product to accident or natural causes (such as fire, flood, wind, water, power failure); or (iii) operation of the Product beyond its normal useful life. Joerns’ liability with respect to these Terms or the sale of the Products, or anything done in connection therewith, whether in contract, tort, strict liability, or otherwise, at law or in equity, will not exceed the purchase price paid for the Products on which such liability is based.
    6. Government Reporting. If Customer submits a claim or request for Medicare or Medicaid payment or reimbursement for the Products by or from any government authority or other person Customer is responsible for fully and accurately reporting to such government authority or other person all discounts, rebates, incentive payments, bonuses and the like applicable to such Products, including those reflected herein and others which may apply.
    7. Indemnity. Customer agrees to indemnify and hold harmless Joerns and its parent, subsidiary and affiliated companies, and their respective employees, officers, and directors, from any and all claims, losses, damages, charges, expenses (including reasonable attorneys’ fees and product recall expenses) arising out of any breach of these Terms or applicable law by Customer, or negligent actions of Customer including but not limited to the maintenance, repair or alteration of any Product, or the improper assembly or incorporation of the Product into any other device.
    8. Confidential Information. Customer may become familiar with trade secrets and confidential information of Joerns which derive independent economic value, actual or potential, from not being generally known to the public or to other persons who can obtain economic value from their disclosure or use (“Confidential Information”). Customer agrees not to disclose or utilize any Confidential Information, including without limitation, product specifications, prices, discounts, manufacturing costs, ideas, technical data, customer lists and sales reports to which Customer has been privy.
    9. Intellectual Property. For the purposes of these term, “Intellectual Property” means any and all patents, copyrights, trademarks, trade names, trade secrets, and other propriety rights of Joerns or its affiliates, and all applications and registrations therefore. Customer acknowledges that Joerns is the exclusive owner or licensee of all rights, title and interest in and to the Intellectual Property embodied in, related to, or associated with the Products. Customer will immediately notify Joerns of any and all actual or suspected infringements of any Intellectual Property, which may come to the attention of Customer.  Joerns will be responsible for taking any action to prevent infringement of the Intellectual Property.
    10. Credit. Joerns may terminate any credit availability within its sole discretion. Customer understands that Joerns is relying on the truth and accuracy of the information provided to Joerns in any application for credit, as well as any other information provided to Joerns in any application for credit, as well as any other information provided to Joerns such as financial statements. Customer authorizes Joerns to conduct any credit investigation of Customer deemed necessary, including, but not limited to personal credit information about guarantors, general partners, proprietors and individual applicants.  Customer hereby explicitly authorizes trade and bank references to release credit information to Joerns.
    11. Delays. Joerns shall not be liable for any damage as a result of any delay in performance or nonperformance due to any cause beyond Joerns’ reasonable control, including, without limitation, an act of God, act of the Customer, delays caused by Joerns’ suppliers or subcontractors, embargo or other governmental act, regulation or request, fire, accident, strike, slowdown, war, riot, delay in transportation, or inability to readily obtain necessary labor, materials, or manufacturing facilities.
    12. Assignment. These Terms shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns. Notwithstanding the foregoing, neither these Terms nor any interest therein shall be assigned, delegated subcontracted for, or otherwise transferred by Customer, except upon Joerns’ prior written consent. Any assignment or transfer without such consent shall be void and of no effect. Regardless of Joerns’ consent to any of the foregoing, Customer shall remain liable for the performance of all obligations herein including but not limited to the payment of invoices pursuant to these Terms. Joerns may assign its rights or obligations under these Terms to any Joerns affiliate or successor (including a purchaser of all or a portion of these assets of Joerns) without Customer’s consent. Nothing in these Terms is intended nor will be deemed to confer any benefits on any third party, except as explicitly contemplated in section 7 above.
    13. Divestitures. In the event of a divestiture or other sale of part or all of Customer’s business, any outstanding invoices owed to Joerns must be disclosed to Customer’s new owner, and paid by Customer within 30 days of the sale transaction. Should Customer’s new owner decide to continue a business relationship with Joerns, a new contract must be created between Joerns and Customer’s new owner.
    14. Miscellaneous. These Terms shall be construed in accordance with the laws of the State of North Carolina without regard to conflicts of laws. The Parties submit to the exclusive jurisdiction of state and federal courts in North Carolina and waive any right to trial before a jury. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms. Each Party shall be responsible for its own attorneys’ fees and expenses, without regard to any prevailing Party’s rights under applicable law. These Terms shall be binding upon the Parties, and their respective heirs, executors, administrators, successors and assigns.  These Terms along with any other written agreement between Buyer and Joerns contain the entire agreement between the parties related to the transactions contemplated hereby. The failure of Joerns to enforce any provisions of these Terms or any rights with respect thereto shall in no way be considered to be a waiver of such provisions or rights, or in any way affect the validity of these Terms.

     

    Terms and Conditions Specific to Customer Capital Purchases (the “Purchase Terms”)

    1. Order Cancellation/Modification. Orders for custom or configured Products cannot be cancelled or modified. All sales are considered final.  Joerns may, however, at its sole discretion, accommodate Customer’s written request for a cancellation or modification.  In the event Joerns agrees to cancellation, Customer shall pay to Joerns a cancellation charge to include all costs and expenses already incurred or to be incurred for obligations made by Joerns in connection with the processing, handling and fabrication of the Products subject to the cancelled order, plus reasonable amounts for overhead and profit or fifty percent (50%) of the dollar amount of the cancelled order, whichever is greater.  In the event Joerns agrees to modification, Customer shall pay to Joerns a modification charge to include all costs and expenses in connection with the modification, plus reasonable amounts for overhead and profit.  Customer and Joerns agree that these cancelation and modification charges, as applicable, are necessary as liquidated damages and not as a penalty for Customer’s improper cancellation or modification of the order, which charges Customer acknowledges are reasonable.
    2. Purchase Orders. Customer may order Products and parts for purchase by telephone (Joerns written confirmation, if any, shall be conclusive evidence of such order), facsimile, or other written communication (each, a “Purchase Order”), identifying the Products or parts by number, quantity, purchase price, address for delivery, date of shipment and any special shipping instructions. All Purchase Orders are subject to acceptance by Joerns in its sole discretion. Any terms or conditions in any Purchase Order, which are inconsistent with, or are in addition to these Terms, shall be null and void.  Joerns shall use reasonable efforts to timely fill orders accepted by Joerns subject to availability, demand, inventory and other factors. Any orders shipped COD will be assessed a $20.00 handling fee.
    3. Freight Terms. All freight charges applicable to the purchase of Products and parts by Customer shall be included on the Customer’s invoice once the product is shipped and made available to Customer, in advance, upon Customer’s request. Freight quotes are valid for 30 days. Joerns does not guarantee particular shipment or delivery dates and any quoted shipment or delivery dates are estimates only.
    4. Partial Shipments. Joerns will attempt to combine multiple orders for a single shipment. However, Joerns reserves the right to make delivery in installments, which will be separately invoiced, and Customer shall make payment for installments per invoice terms without regard to subsequent deliveries. Delay in delivery of any installments shall not relieve Customer of its obligations to accept remaining deliveries.
    5. Delivery and Risk of Loss. All Products will be sold Ex Works, Sellers Factory, or Distribution Center, (also known as FOB Shipping Point) unless otherwise agreed in writing by both parties.
    6. Inspection. Claims for shortages, errors in delivery or defects apparent on visual inspection must be made in writing to Joerns within ten (10) calendar days after receipt of shipment. Customer’s failure to give timely notice of the same shall constitute unqualified acceptance of such shipment.
    7. Security Interest. To secure all of Customer’s obligations to Joerns hereunder and under any other agreement between Customer and Joerns, Joerns hereby reserves and Customer hereby grants to Joerns a security interest in all Products and parts purchased by Customer from Joerns, all inventory consisting of Products purchased from Joerns, together with any and all proceeds and other amounts from time to time paid or payable under or in connection with any of the foregoing, upon sale, lease, rental, or other disposition or otherwise, whether permanent or temporary and whether voluntary or involuntary, including without limitation, any and all rents, lease payments, money, cash or cash equivalents, accounts receivable, contract rights, chattel paper, documents, instruments, deposit accounts and general intangibles now existing or hereafter arising from or related to such property. Customer hereby authorizes Joerns to file any and all documents or instruments, including without limitation, financing statements and continuation statements, which are reasonably necessary to perfect or continue such security interest.
    8. Warranty. A current written warranty statement is supplied with each Product. A copy of the current written warranty statement is also available from Joerns upon request. JOERNS’ WRITTEN WARRANTY STATEMENT IS IN LIEU OF ALL OTHER EXPRESS AND IMPLIED WARRANTIES, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  If the condition of the Product is such as might or would (subject to these Terms) entitle Customer to claim damages, to repudiate the Purchase Order, or to reject the product, Customer shall first make written request of Joerns to fulfill any applicable warranty obligations.  To the extent of a valid warranty obligation as determined by Joerns, Joerns shall then be entitled to take corrective actions within a reasonable time in the manner it deems appropriate.  If Joerns does so repair the Product or supply a substitute product or effect repayment or rectification, then Joerns shall be under no liability in respect of any loss or damage of whatever nature arising from the initial delivery of the defective product or the performance of its warranty obligations.  Customer shall not extend to any end-user warranty terms, which are different than Joerns Healthcare, LLC standard warranty terms.
    9. Returns. Joerns will accept returns within 30 days of the Product purchase date for unopened, unused Products that are still in their original packaging; provided that Customer obtains written permission and a return authorization number from Joerns in advance. All approved returns must be shipped F.O.B (Joerns’ warehouse) and must be properly packaged by Customer. Product returns are subject to a service charge of 30%, or such amount then in effect.  Used, custom or configured Products are not returnable except for warranty purposes. Joerns will not accept Product returns that are not pre-approved and prepaid.
    10. Resale/Export. The resale or export of equipment outside of Canada is prohibited. In the event that equipment is resold or exported, all obligations transfer to Customer and Joerns’ obligations under this contract expire upon the date of sale to Customer. In addition, Customer will indemnify Joerns for any and all costs, including but not limited to, lost sales, claims, fees, penalties, etc. associated with the resale or export of equipment outside of Canada.

     

    Terms and Conditions Specific to Customer Rentals (the “Rental Terms”)

    1. Delivery. Joerns shall use its commercially reasonable efforts to deliver the Products to Customer within 24 hours of the order being placed. Customer shall inspect the Products upon receipt, and Customer’s signing the delivery documentation for the Products upon delivery shall validate that the Products are in good working order and without defect.
    2. Billing. Products shall be billed at a daily rate commencing on the date of delivery and will continue to be billed until such time that Customer calls Joerns or notifies Joerns through MyJHC of the pickup. Joerns shall offer a rental credit up to two days for weekend discharges.
    3. Maintenance. Joerns shall maintain the Products in good working order and repair while in use by Customer. Customer shall operate the Products delivered solely in a manner consistent with the use for which they were designed and in compliance with all applicable laws, manuals and instructions.  Customer agrees not to alter, repair or transfer the Products to another location or resident without Joerns’ prior written consent.  Title to all rental Products under these Terms shall at all times remain with Joerns.  In the event Customer breaches these Terms, Joerns may, in addition to any other remedy available to it at law or in equity, take possession of the Products and remove them from Customer without any legal proceedings. Customer is responsible for damages/lost accessories, infestation or excessively soiled equipment caused by failure to take proper care of Joerns asset.
    4. No Warranty. Joerns makes no representations or warranties express or implied, with respect to the condition or fitness of the Products, except as expressly set forth in the Joerns Operations Manual.
    5. Insurance. The Parties shall maintain general, property, and professional liability insurance policies in the amount of $1,000,000 per incident with aggregate coverage of $2,000,000. Each Party shall also obtain and maintain appropriate worker’s compensation and employer’s liability insurance coverage in accordance with the minimum amounts required by law.
    6. Risk of Loss: Ownership. Customer shall be responsible for all rental Products while in its possession. Customer shall be liable for damage to such Products from misuse, loss or theft and shall reimburse Joerns for such damage or loss at amounts determined by Joerns in its sole discretion.  Customer acknowledges and agrees that is does not have, and it will not obtain, any title to the Products and Customer will not permit any liens, charges or encumbrances to b places on ir levied against the Products.
    7. Termination. Any one or more of the following events, if not remedied within ten (10) days after notice from Joerns of the occurrence of such event, shall entitle Joerns to terminate the rental of the Products and to take immediate possession thereof: (i) failure of Customer to comply with any of its covenants and obligations to Joerns; (ii) if a Product is in imminent danger of loss or destruction; and (iii) if Customer is declared insolvent, makes a general assignment for the benefit of its creditors or otherwise seeks protection from its creditors.

    1. Effective Date of Terms and Conditions; Modification. These Joerns Healthcare Terms and Conditions (these “Joerns Terms and Conditions”) are effective for all purchase and/or rental orders placed by you or your affiliates (“Customer”) with Joerns Healthcare Canada, Inc. a Delaware limited liability company or any of its affiliates (“Joerns”) (each a “Party” and collectively the “Parties”) on or after September 1, 2024 (the “Effective Date”). The Joerns Terms and Conditions, the Purchase Terms (as defined below), and the Rental Terms (as defined below) are collectively referred to herein as these “Terms”. On and after the Effective Date, these Terms will supersede all prior terms and conditions regarding the purchase and/or rental of Joerns products (the “Products”). Joerns reserves the right to modify these Terms from time to time upon written notification to Customer by  mail, electronic mail or by posting any changes on the Joerns website (www.joerns.com).  Any modification of these Terms shall be effective for all purchase and/or rental orders placed by Customer with Joerns on or after the effective date set forth therein.  Customer shall be deemed to have accepted these Terms and any revised Terms upon the earlier to occur of (i) Customer signing or otherwise authenticating these Terms, or (ii) Customer placing a purchase and/or rental order with Joerns after the Effective Date. In addition to the foregoing, if Customer has an outstanding balance of $272.00 or more on an account and that account is past due and Customer has not previously notified Joerns of a dispute involving the charges for such account, Customer must pay a Late Payment Fee of $67.00 for each month that the account is past due.  Joerns, in its sole discretion, may allow Customer to make payment(s) via credit card.  If a credit card transaction is permitted by Joerns, then Joerns will, to the maximum extent permitted by applicable law, add a credit card convenience fee of three percent (3%) to the payment amount.  To the extent Joerns does not apply the convenience fee to any particular credit card transaction, this does not waive or otherwise modify Joerns right to do so on future credit card transactions, subject to applicable law.  Joerns reserves the right to discontinue the acceptance of credit card transactions in Joerns’ sole discretion.

    6. Government Reporting. If Customer submits a claim or request for payment or reimbursement for the Products by or from any governmental authority or other person, Customer is responsible for fully and accurately reporting to such government authority or other person all discounts, rebates, incentive payments, bonuses and the like applicable to such Products, including those reflected herein and others which may apply.

    8. Confidential Information. Customer may become familiar with trade secrets and confidential information of Joerns which derive independent economic value, actual or potential, from not being generally known to the public or to other persons who can obtain economic value from their disclosure or use (“Confidential Information”). Customer agrees not to disclose or utilize any Confidential Information, including without limitation, product specifications, prices, discounts, manufacturing costs, ideas, technical data, customer lists and sales reports to which Customer has been privy.
    9. Intellectual Property. For the purposes of these term, “Intellectual Property” means any and all patents, copyrights, trademarks, trade names, trade secrets, and other propriety rights of Joerns or its affiliates, and all applications and registrations therefore. Customer acknowledges that Joerns is the exclusive owner or licensee of all rights, title and interest in and to the Intellectual Property embodied in, related to, or associated with the Products. Customer will immediately notify Joerns of any and all actual or suspected infringements of any Intellectual Property, which may come to the attention of Customer.  Joerns will be responsible for taking any action to prevent infringement of the Intellectual Property.
    10. Credit. Joerns may terminate any credit availability within its sole discretion. Customer understands that Joerns is relying on the truth and accuracy of the information provided to Joerns in any application for credit, as well as any other information provided to Joerns in any application for credit, as well as any other information provided to Joerns such as financial statements. Customer authorizes Joerns to conduct any credit investigation of Customer deemed necessary, including, but not limited to personal credit information about guarantors, general partners, proprietors and individual applicants.  Customer hereby explicitly authorizes trade and bank references to release credit information to Joerns.
    11. Delays. Joerns shall not be liable for any damage as a result of any delay in performance or nonperformance due to any cause beyond Joerns’ reasonable control, including, without limitation, an act of God, act of the Customer, delays caused by Joerns’ suppliers or subcontractors, embargo or other governmental act, regulation or request, fire, accident, strike, slowdown, war, riot, delay in transportation, or inability to readily obtain necessary labor, materials, or manufacturing facilities.
    12. Assignment. These Terms shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns. Notwithstanding the foregoing, neither these Terms nor any interest therein shall be assigned, delegated subcontracted for, or otherwise transferred by Customer, except upon Joerns’ prior written consent. Any assignment or transfer without such consent shall be void and of no effect. Regardless of Joerns’ consent to any of the foregoing, Customer shall remain liable for the performance of all obligations herein including but not limited to the payment of invoices pursuant to these Terms. Joerns may assign its rights or obligations under these Terms to any Joerns affiliate or successor (including a purchaser of all or a portion of these assets of Joerns) without Customer’s consent. Nothing in these Terms is intended nor will be deemed to confer any benefits on any third party, except as explicitly contemplated in section 7 above
    13. Divestitures. In the event of a divestiture or other sale of part or all of Customer’s business, any outstanding invoices owed to Joerns must be disclosed to Customer’s new owner, and paid by Customer within 30 days of the sale transaction. Should Customer’s new owner decide to continue a business relationship with Joerns, a new contract must be created between Joerns and Customer’s new owner.
    14. Miscellaneous. These Terms shall be construed in accordance with the laws of the State of North Carolina without regard to conflicts of laws. The Parties submit to the exclusive jurisdiction of state and federal courts in North Carolina and waive any right to trial before a jury. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms. Each Party shall be responsible for its own attorneys’ fees and expenses, without regard to any prevailing Party’s rights under applicable law. These Terms shall be binding upon the Parties, and their respective heirs, executors, administrators, successors and assigns. These Terms along with any other written agreement between Buyer and Joerns contain the entire agreement between the parties related to the transactions contemplated hereby. The failure of Joerns to enforce any provisions of these Terms or any rights with respect thereto shall in no way be considered to be a waiver of such provisions or rights, or in any way affect the validity of these Terms. The Parties confirm that it is their wish that these Terms and any other document executed in connection with the transitions contemplated herein be drawn up in the English language only. Les parties aux presentes ont expressement exige que la presente convention et tous les autres contrats, documents ou avis qui y sont afferents rediges en langue anglaise.

     

    Terms and Conditions Specific to Customer Capital Purchases (the “Purchase Terms”)

    1. Order Cancellation/Modification. Orders for custom or configured Products cannot be cancelled or modified. All sales are considered final.  Joerns may, however, at its sole discretion, accommodate Customer’s written request for a cancellation or modification.  In the event Joerns agrees to cancellation, Customer shall pay to Joerns a cancellation charge to include all costs and expenses already incurred or to be incurred for obligations made by Joerns in connection with the processing, handling and fabrication of the Products subject to the cancelled order, plus reasonable amounts for overhead and profit or fifty percent (50%) of the dollar amount of the cancelled order, whichever is greater.  In the event Joerns agrees to modification, Customer shall pay to Joerns a modification charge to include all costs and expenses in connection with the modification, plus reasonable amounts for overhead and profit.  Customer and Joerns agree that these cancelation and modification charges, as applicable, are necessary as liquidated damages and not as a penalty for Customer’s improper cancellation or modification of the order, which charges Customer acknowledges are reasonable.
    2. Purchase Orders. Customer may order Products and parts for purchase by telephone (Joerns written confirmation, if any, shall be conclusive evidence of such order), facsimile, or other written communication (each, a “Purchase Order”), identifying the Products or parts by number, quantity, purchase price, address for delivery, date of shipment and any special shipping instructions. All Purchase Orders are subject to acceptance by Joerns in its sole discretion. Any terms or conditions in any Purchase Order, which are inconsistent with, or are in addition to these Terms, shall be null and void.  Joerns shall use reasonable efforts to timely fill orders accepted by Joerns subject to availability, demand, inventory and other factors. Any orders shipped COD will be assessed a $28.00 handling fee.
    3. Freight Terms. All freight charges applicable to the purchase of Products and parts by Customer shall be included on the Customer’s invoice once the product is shipped and made available to Customer, in advance, upon Customer’s request. Freight quotes are valid for 30 days. Joerns does not guarantee particular shipment or delivery dates, and any quoted shipment or delivery dates are estimates only.
    4. Partial Shipments. Joerns will attempt to combine multiple orders for a single shipment. However, Joerns reserves the right to make delivery in installments, which will be separately invoiced, and Customer shall make payment for installments per invoice terms without regard to subsequent deliveries. Delay in delivery of any installments shall not relieve Customer of its obligations to accept remaining deliveries.
    5. Delivery and Risk of Loss. All Products will be sold Ex Works, Sellers Factory, or Distribution Center, (also known as FOB Shipping Point) unless otherwise agreed in writing by both parties.
    6. Inspection. Claims for shortages, errors in delivery or defects apparent on visual inspection must be made in writing to Joerns within ten (10) calendar days after receipt of shipment. Customer’s failure to give timely notice of the same shall constitute unqualified acceptance of such shipment.
    7. Security Interest. To secure all of Customer’s obligations to Joerns hereunder and under any other agreement between Customer and Joerns, Joerns hereby reserves and Customer hereby grants to Joerns a security interest in all Products and parts purchased by Customer from Joerns, all inventory consisting of Products purchased from Joerns, together with any and all proceeds and other amounts from time to time paid or payable under or in connection with any of the foregoing, upon sale, lease, rental, or other disposition or otherwise, whether permanent or temporary and whether voluntary or involuntary, including without limitation, any and all rents, lease payments, money, cash or cash equivalents, accounts receivable, contract rights, chattel paper, documents, instruments, deposit accounts and general intangibles now existing or hereafter arising from or related to such property. Customer will, on request, execute, and hereby authorizes Joerns to file, any and all agreements, documents or instruments, including without limitation, financing statements , continuation statements and financing change statements, as applicable, which are reasonably necessary to establish, perfect, amend or renew such security interest. Customer waives all rights to receive from Joerns a copy of any financing statement, continuation statement, financing change statement, or other document, or instrument field, or any verification statement received, at any time in respect of this Agreement.
    8. Warranty. A current written warranty statement is supplied with each Product. A copy of the current written warranty statement is also available from Joerns upon request. JOERNS’ WRITTEN WARRANTY STATEMENT IS IN LIEU OF ALL OTHER EXPRESS AND IMPLIED WARRANTIES, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  If the condition of the Product is such as might or would (subject to these Terms) entitle Customer to claim damages, to repudiate the Purchase Order, or to reject the product, Customer shall first make written request of Joerns to fulfill any applicable warranty obligations.  To the extent of a valid warranty obligation as determined by Joerns, Joerns shall then be entitled to take corrective actions within a reasonable time in the manner it deems appropriate.  If Joerns does so repair the Product or supply a substitute product or effect repayment or rectification, then Joerns shall be under no liability in respect of any loss or damage of whatever nature arising from the initial delivery of the defective product or the performance of its warranty obligations.  Customer shall not extend to any end-user warranty terms, which are different than Joerns Healthcare, LLC standard warranty terms.
    9. Returns. Joerns will accept returns within 30 days of the Product purchase date for unopened, unused Products that are still in their original packaging; provided that Customer obtains written permission and a return authorization number from Joerns in advance. All approved returns must be shipped F.O.B (Joerns’ warehouse) and must be properly packaged by Customer. Product returns are subject to a service charge of 30%, or such amount then in effect.  Used, custom or configured Products are not returnable except for warranty purposes. Joerns will not accept Product returns that are not pre-approved and prepaid.
    10. Resale/Export. The resale or export of Products outside of Canada is prohibited. In the event that Products is resold or exported, all obligations transfer to Customer and Joerns’ obligations under this contract expire upon the date of sale to Customer. In addition, Customer will indemnify Joerns for any and all costs, including but not limited to, lost sales, claims, fees, penalties, etc. associated with the resale or export of Products outside of Canada.

    1. Date d’entrée en vigueur des conditions générales; modification. Les présentes conditions générales de Joerns Healthcare (les « conditions générales de Joerns ») s’appliquent à toutes les commandes d’achat et/ou de location passées par vous ou vos sociétés affiliées (« client ») auprès de Joerns Healthcare Canada, Inc. (« Joerns »), une société à responsabilité limitée du Delaware, ou auprès de l’une de ses sociétés affiliées (individuellement une « partie » et collectivement les « parties ») à compter du 1er septembre 2024 (la « date d’entrée en vigueur »). Les conditions générales de Joerns, les modalités d’achat (au sens donné à ce terme ci-après) et les modalités de location (au sens donné à ce terme ci-après) sont collectivement appelées aux présentes les « modalités ». À compter de la date d’entrée en vigueur, les présentes modalités remplaceront toutes les modalités antérieures relatives à l’achat et/ou à la location de produits Joerns (les « produits »). Joerns se réserve le droit de modifier les présentes modalités de temps à autre sur notification écrite au client par courrier, par courrier électronique ou en publiant les modifications en question sur son site Web (www.joerns.com). Toute modification des présentes modalités s’appliquera à toutes les commandes d’achat et/ou de location passées par le client auprès de Joerns à compter de la date d’entrée en vigueur qui y est indiquée. Le client est réputé avoir accepté les présentes modalités ainsi que toutes les modifications connexes à la première des éventualités suivantes : i) le client signe ou authentifie autrement les présentes modalités; ii) le client passe une commande d’achat et/ou de location auprès de Joerns après la date d’entrée en vigueur. Le consentement de Joerns à se livrer à l’activité envisagée par les présentes modalités est expressément conditionnel à l’acceptation inaltérée des présentes modalités par le client. Toute modalité énoncée sur une facture ou un autre document fourni par le client, qui s’ajoute aux présentes modalités, diffère d’elles ou entre en conflit avec celles-ci, est par les présentes rejetée et ne s’appliquera pas. Les présentes modalités constituent l’intégralité de l’accord entre les parties en ce qui concerne les opérations envisagées aux présentes. Toutefois, en cas de conflit entre les dispositions des présentes modalités et celles de tout autre accord conclu entre les parties relativement aux produits, les dispositions de cet autre accord prévaudront.
    2. Modalités de paiement. Les modalités de paiement standard de Joerns sont NET 30 à compter de la date de facturation. En cas de contestation, le client doit, dans les 45 jours suivant la date de facturation, écrire à Joerns à l’adresse billing@joerns.com, afin de demander une correction de la facture et/ou qu’un crédit soit porté à son compte. Les demandes de correction et de crédit reçues après le délai de 45 jours ne seront pas prises en compte et cette facture sera considérée comme exacte et payable conformément aux présentes modalités. Tout paiement non effectué à l’échéance générera des intérêts au taux de 1,5 % par mois (taux annuel en pourcentage [TAP] de 18 %) jusqu’au paiement intégral. Si le client n’effectue pas un paiement dans les délais, il devra payer tous les frais raisonnables de recouvrement, y compris les honoraires d’avocat raisonnables. Le client accepte de payer des frais de service de 34,00 $ pour tout chèque retourné. Si le paiement n’est pas effectué conformément aux modalités de paiement applicables, Joerns peut suspendre toutes les livraisons ultérieures ou exiger un paiement intégral ou partiel en espèces, à l’avance, pour les nouvelles commandes. En plus de ce qui précède, si le client a un solde impayé de 272,00 $ ou plus sur un compte, que ce compte est en souffrance et que le client n’a pas au préalable informé Joerns d’un différend concernant les frais imputés à ce compte, le client doit payer des frais de retard de 67,00 $ pour chaque mois au cours duquel le compte est en souffrance. Joerns peut, à sa seule discrétion, autoriser le client à effectuer un ou des paiements par carte de crédit. Si une opération sur carte de crédit est autorisée par Joerns, Joerns ajoutera, dans la pleine mesure permise par la loi applicable, des frais de commodité de trois pour cent (3 %) liés à la carte de crédit, au montant du paiement. Dans la mesure où Joerns n’applique pas les frais de commodité à une opération sur carte de crédit particulière, cela n’annule pas ni ne modifie autrement le droit de Joerns de le faire à l’égard d’opérations futures sur carte de crédit, sous réserve des lois applicables. Joerns se réserve le droit de mettre fin à l’acceptation des opérations sur carte de crédit à sa seule discrétion.
    3. Produits et prix. Joerns se réserve le droit de modifier, sans préavis, la conception, la construction et le type de matériaux utilisés dans la fabrication de l’un ou l’autre des produits. Joerns se réserve en outre le droit d’interrompre, sans préavis, la fabrication de l’un ou l’autre des produits et/ou des pièces de rechange correspondantes. Joerns peut modifier les prix des produits à tout moment. La facturation et le paiement s’effectuent en dollars canadiens.
    4. Taxes/Frais. Le client est responsable de l’ensemble des taxes, droits, frais ou charges de toute nature imposés par une autorité gouvernementale dans le cadre de la vente et/ou de la location des produits qui lui sont destinés (à l’exclusion des impôts sur le revenu de Joerns), qu’ils soient exigibles au moment de la vente ou à une date ultérieure, y compris les pénalités et les intérêts. Si Joerns est tenue de payer ces taxes, droits ou frais, le client remboursera Joerns dans les dix (10) jours suivant le paiement par Joerns de ces taxes, droits ou frais.
    5. Limitation de responsabilité. Joerns n’est pas responsable : a) des réclamations découlant d’un décès ou de lésions corporelles, sauf dans la mesure où le décès ou la lésion est imputable à un manquement de Joerns à l’obligation de diligence raisonnable; b) de tout manque à gagner; c) de toute perte de revenus ou de clientèle; d) des dommages indirects, punitifs ou consécutifs. Comme décrit plus amplement dans la police de garantie de Joerns, les obligations de garantie de Joerns ne s’appliquent pas en cas de négligence de la part du client ou des utilisateurs finaux des produits, notamment dans les cas suivants : i) tout(e) utilisation, modification, entretien, réparation ou combinaison avec d’autres dispositifs, non conforme aux instructions écrites; ii) l’exposition du produit à un accident ou à des catastrophes naturelles (notamment un incendie, une inondation, du vent, de l’eau, une panne de courant); iii) l’utilisation du produit au-delà de sa durée de vie utile normale. La responsabilité de Joerns en ce qui concerne les présentes modalités ou la vente des produits, ou tout ce qui s’y rapporte, que ce soit dans le cadre d’un contrat, d’un délit, d’une responsabilité stricte ou autre, en droit ou en équité, ne dépassera pas le prix d’achat payé pour les produits sur lesquels cette responsabilité est fondée.
    6. Rapports aux autorités gouvernementales. Si le client présente une réclamation ou une demande de paiement ou de remboursement concernant des produits par ou auprès d’une autorité gouvernementale ou d’une autre personne, il lui incombe de produire une déclaration complète et exacte à l’intention de cette autorité gouvernementale ou de cette autre personne à l’égard de l’ensemble des escomptes, des rabais, des paiements incitatifs, des primes et des autres éléments similaires applicables à ces produits, y compris ceux énoncés aux présentes ainsi que d’autres éléments qui peuvent s’appliquer.
    7. Indemnité. Le client accepte d’indemniser et de dégager de toute responsabilité Joerns et, ses sociétés mères, filiales et affiliées, ainsi que leurs employés, dirigeants et administrateurs respectifs, en cas de réclamations, pertes, dommages, frais, dépenses (y compris les honoraires raisonnables d’avocats et les frais de rappel de produits) résultant d’une violation des présentes modalités ou de la loi applicable par le client, ou d’actions négligentes du client, y compris, mais sans s’y limiter, l’entretien, la réparation ou la modification de tout produit, ou l’assemblage ou l’incorporation incorrects du produit dans tout autre appareil.
    8. Renseignements confidentiels. Il peut arriver que le client prenne connaissance de secrets commerciaux et de renseignements confidentiels de Joerns qui ont une valeur économique indépendante, réelle ou potentielle, du fait qu’ils ne sont généralement pas connus du public ou d’autres personnes qui peuvent en tirer une valeur économique (les « renseignements confidentiels »). Le client s’engage à ne pas divulguer ou utiliser des renseignements confidentiels, notamment les spécifications de produits, les prix, les escomptes, les coûts de fabrication, les idées, les données techniques, les listes de clients et les rapports de vente auxquels il a accès.
    9. Propriété intellectuelle. Aux fins des présentes modalités, le terme « propriété intellectuelle » désigne l’ensemble des brevets, droits d’auteur,

     

    marques de commerce, noms commerciaux, secrets commerciaux et autres droits de propriété de Joerns ou de ses sociétés affiliées, ainsi que toutes les demandes et tous les enregistrements connexes. Le client reconnaît que Joerns est le propriétaire ou le titulaire exclusif de licence de tous les droits, titres et intérêts relatifs à la propriété intellectuelle qui sont inhérents aux produits ou qui y sont liés. Le client informera immédiatement Joerns de toute violation réelle ou présumée d’une propriété intellectuelle dont il pourrait avoir connaissance. Il incombera à Joerns de prendre toutes les mesures nécessaires pour prévenir la violation de la propriété intellectuelle.

    1. Crédit. Joerns peut mettre fin à toute disponibilité de crédit à son entière discrétion. Le client comprend que Joerns se fie à la véracité et à l’exactitude des renseignements qui lui ont été fournis dans toute demande de crédit, ainsi qu’à toute autre information qui lui a été fournie dans toute demande de crédit, notamment les états financiers. Le client autorise Joerns à mener toute enquête de crédit à son égard, jugée nécessaire, y compris, mais sans s’y limiter, les renseignements personnels figurant dans le dossier de crédit des garants, des commandités, des propriétaires et des particuliers qui présentent une demande. Par les présentes, le client autorise expressément les banques et les sociétés inscrites dans la demande de crédit à communiquer des renseignements sur son dossier de crédit à Joerns.
    2. Joerns ne sera pas responsable des dommages résultant d’un retard d’exécution ou d’une non-exécution attribuable à une cause échappant au contrôle raisonnable de Joerns, y compris, sans s’y limiter, un cas de force majeure, un acte du client, des retards causés par les fournisseurs ou sous-traitants de Joerns, un embargo ou une autre action, réglementation ou demande gouvernementale, un incendie, un accident, une grève, un ralentissement, une guerre, une émeute, un retard dans le transport ou l’incapacité d’obtenir rapidement la main-d’œuvre, les matériaux ou les installations de fabrication nécessaires.
    3. Les présentes modalités lient les parties et leurs successeurs et ayants droit respectifs et s’appliquent à leur profit. Nonobstant ce qui précède, ni les présentes modalités ni aucun intérêt connexe ne peuvent être cédés, délégués en sous-traitance ou autrement transférés par le client, sauf avec le consentement écrit préalable de Joerns. Toute cession ou tout transfert sans ce consentement sera nul et sans effet. Sans égard au consentement de Joerns à l’une ou l’autre des dispositions qui précèdent, le client demeure responsable de l’exécution de toutes les obligations prévues aux présentes, y compris, mais sans s’y limiter, le paiement des factures conformément aux présentes modalités. Joerns peut céder ses droits ou obligations aux termes des présentes modalités à toute société affiliée ou tout successeur de Joerns (y compris toute personne faisant l’acquisition de la totalité ou d’une partie des actifs de Joerns) sans le consentement du client. Aucune disposition des présentes modalités ne vise à conférer des avantages à un tiers, ni ne sera considéré comme tel, sauf tel qu’il est expressément prévu à l’article 7 ci-dessus.
    4. Dans le cas d’une cession ou d’une autre vente d’une partie ou de la totalité de l’entreprise du client, toute facture impayée due à Joerns doit être communiquée au nouveau propriétaire de l’entreprise du client et payée par le client dans les 30 jours suivant la transaction de vente. Si le nouveau propriétaire de l’entreprise du client décide de poursuivre une relation d’affaires avec Joerns, un nouveau contrat doit être établi entre Joerns et le nouveau propriétaire de l’entreprise du client.
    5. Dispositions diverses. Les présentes modalités doivent être interprétées conformément aux lois de l’État de Caroline du Nord sans égard aux conflits de lois. Les parties se soumettent à la compétence exclusive des tribunaux étatiques et fédéraux de Caroline du Nord et renoncent à tout droit à un procès devant jury. Convention des Nations unies sur les contrats de vente internationale de marchandises est expressément exclue des présentes modalités. Chaque partie est responsable des honoraires et des dépens de ses propres avocats, sans égard aux droits de toute partie qui a gain de cause en vertu de la loi applicable. Les présentes modalités lient les parties ainsi que leurs héritiers, exécuteurs testamentaires, administrateurs, successeurs et ayants droit respectifs. Les présentes modalités, ainsi que tout autre accord écrit entre le client et Joerns, constituent l’intégralité de l’accord entre les parties en ce qui concerne les transactions envisagées par les présentes. L’omission de Joerns de faire respecter une disposition des présentes modalités ou des droits s’y rapportant ne sera aucunement considérée comme une renonciation à ces dispositions ou droits, ni n’aura d’incidence sur la validité des présentes modalités.

     

     

    Modalités spécifiques aux achats de biens par les clients (les « modalités d’achat »)

    1. Annulation/modification de la commande. Les commandes de produits sur mesure ou configurés ne peuvent être ni annulées ni modifiées. Toutes les ventes sont considérées comme définitives. Joerns peut toutefois, à sa seule discrétion, accepter la demande écrite d’annulation ou de modification du client. Si Joerns consent à l’annulation, le client devra payer à Joerns des frais d’annulation comprenant tous les coûts et dépenses déjà engagés ou à engager pour remplir les obligations de Joerns relativement au traitement, à la manutention et à la fabrication des produits visés par la commande annulée, plus des montants raisonnables au titre des coûts indirects et du bénéfice ou cinquante pour cent (50 %) du montant en dollars de la commande annulée, selon le plus élevé des deux montants. Si Joerns consent à la modification, le client devra payer à Joerns des frais de modification comprenant tous les coûts et dépenses liés à la modification, plus des montants raisonnables au titre des coûts indirects et du bénéfice. Le client et Joerns conviennent que ces frais d’annulation et de modification, selon le cas, sont nécessaires à titre de dommages-intérêts liquidés et non à titre de pénalité pour annulation ou modification inappropriée de la commande par le client, frais que le client reconnaît comme étant raisonnables.
    2. Bons de commande. Le client peut commander des produits et des pièces par téléphone (la confirmation écrite de Joerns, le cas échéant, constitue une preuve irréfutable de cette commande), par télécopieur ou par un autre moyen de communication écrite (chacun, un « bon de commande »), en identifiant les produits ou les pièces par leur numéro, ainsi qu’en indiquant la quantité, le prix d’achat, l’adresse de livraison, la date d’expédition et toute instruction spéciale concernant l’expédition. Tous les bons de commande sont assujettis à l’acceptation de Joerns, à son entière discrétion. Toute modalité d’un bon de commande qui est incompatible avec les présentes modalités ou qui s’y ajoute est nulle et sans effet. Joerns devra déployer des efforts raisonnables pour exécuter en temps opportun les commandes acceptées, en fonction de la disponibilité, de la demande, des stocks et d’autres facteurs. Toute commande expédiée contre remboursement (CR) fera l’objet de frais de manutention de 28,00 $.
    3. Conditions de transport. Tous les frais de transport applicables à l’achat de produits et de pièces par le client seront inclus sur la facture du client une fois que le produit est expédié et mis à la disposition du client, à l’avance, à la demande du client. Les devis de transport sont valides pour 30 jours. Joerns ne garantit pas de dates d’expédition ou de livraison précises, et les dates d’expédition ou de livraison indiquées ne sont que des estimations.
    4. Expéditions partielles. Joerns s’efforcera de regrouper plusieurs commandes pour une seule expédition. Toutefois, Joerns se réserve le droit d’effectuer des livraisons partielles, qui seront facturées séparément, et le client devra effectuer le paiement des livraisons partielles conformément aux modalités de la facture, sans tenir compte des livraisons ultérieures. Le retard accusé dans la livraison d’une partie de la marchandise ne libère pas le client de son obligation d’accepter les livraisons restantes.
    5. Livraison et risque de perte. Tous les produits sont vendus départ usine, usine du vendeur ou centre de distribution (également connu sous le nom « Franco à bord [FAB] point d’expédition »), sauf accord écrit contraire des deux parties.
    6. Les réclamations pour pénurie, erreur de livraison ou défauts apparents lors de l’inspection visuelle doivent être faites par écrit à Joerns dans les dix (10) jours civils suivant la réception de l’expédition. L’omission par le client de donner un avis en temps opportun de cette livraison constitue une acceptation sans réserve de cette expédition.
    7. Sûreté. Pour garantir toutes les obligations du client envers Joerns en vertu des présentes et de tout autre accord entre le client et Joerns, Joerns se réserve par les présentes et le client accorde par les présentes à Joerns une sûreté sur tous les produits et pièces achetés par le client à Joerns, tous les stocks constitués de produits achetés auprès de Joerns, ainsi que tous les produits et autres montants payés ou payables de temps à autre en vertu de ce qui précède ou en rapport avec ce qui précède, à la suite d’une vente, d’un bail, d’une location ou d’une autre disposition ou autrement, qu’elle soit permanente ou temporaire et volontaire ou involontaire, y compris, sans s’y limiter, l’ensemble des loyers, paiements de location, sommes,

    espèces ou quasi-espèces, comptes débiteurs, droits contractuels, biens meubles, documents, instruments, comptes de dépôt et biens incorporels généraux qui existent actuellement ou qui découleront ultérieurement de ces biens ou qui y sont liés. Le client signera, sur demande, et autorise par les présentes Joerns à déposer tous les accords, documents ou instruments, notamment les états de financement, les états de continuation et les états de modification du financement, selon le cas, qui sont raisonnablement nécessaires pour établir, parfaire, modifier ou renouveler cette sûreté. Le client renonce à tous les droits de recevoir de Joerns une copie de tout état de financement, état de continuation, état de modification de financement, ou de tout autre document ou instrument déposé, ou de tout document de vérification reçu, à tout moment dans le cadre du présent accord.

    1. Une déclaration de garantie écrite en vigueur est fournie avec chaque produit. Une copie de la déclaration de garantie écrite actuelle est également disponible sur demande auprès de Joerns. LA DÉCLARATION DE GARANTIE ÉCRITE DE JOERNS REMPLACE TOUTES LES AUTRES GARANTIES EXPRESSES ET IMPLICITES, LÉGALES OU AUTRES, Y COMPRIS, MAIS SANS S’Y LIMITER, LES GARANTIES IMPLICITES DE QUALITÉ MARCHANDE ET D’ADÉQUATION À UN USAGE PARTICULIER. Si l’état du produit est tel qu’il pourrait ou devrait (sous réserve des présentes modalités) permettre au client de réclamer des dommages-intérêts, d’annuler le bon de commande ou de rejeter le produit, le client doit d’abord demander par écrit à Joerns de s’acquitter de toute obligation de garantie applicable. Dans la mesure d’une obligation de garantie valide, telle que déterminée par Joerns, Joerns aura alors le droit de prendre des mesures correctives dans un délai raisonnable, de la manière qu’elle jugera appropriée. Si Joerns répare le produit ou fournit un produit de remplacement ou effectue un remboursement ou une rectification, Joerns ne sera alors pas responsable de toute perte ou de tout dommage de quelque nature que ce soit découlant de la livraison initiale du produit défectueux ou de l’exécution de ses obligations au titre de la garantie. Le client ne doit pas étendre à l’utilisateur final des conditions de garantie différentes des conditions de garantie standard de Joerns Healthcare, LLC.
    2. Joerns acceptera les retours dans les 30 jours suivant la date d’achat du produit, pour les produits non utilisés et non ouverts qui sont encore dans leur emballage d’origine, à condition que le client obtienne à l’avance une autorisation écrite et un numéro d’autorisation de retour de Joerns. Tous les retours approuvés doivent être expédiés FAB (entrepôt de Joerns) et doivent être correctement emballés par le client. Les retours de produits sont assujettis à des frais de service de 30 %, ou au montant alors en vigueur. Les produits usagés, personnalisés ou configurés ne peuvent pas être retournés, sauf à des fins de garantie. Joerns n’acceptera pas les retours de produits qui ne sont pas préapprouvés et prépayés.
    3. Revente/Exportation. La revente ou l’exportation de produits en dehors du Canada est interdite. En cas de revente ou d’exportation de produits, toutes les obligations sont transférées au client et les obligations de Joerns en vertu des présentes modalités expirent à la date de la vente au client. En outre, le client indemnisera Joerns pour tous les coûts, y compris, mais sans s’y limiter, les ventes perdues, les réclamations, les frais, les pénalités, etc. associés à la revente ou à l’exportation de Produits à l’extérieur du Canada.
